Setting up and Operating a Federal Super PAC
This memorandum summarizes the rules of the road for setting up and operating federal Super PACs, which are groups formed primarily to make “independent expenditures” in connection with federal elections, and which register and file reports with the Federal Election Commission (“FEC”). An “independent expenditure” is an expenditure for a communication expressly advocating the success or defeat of a clearly identified candidate for federal office. Unlike traditional federal PACs, a Super PAC may accept unlimited contributions from corporations and unions, and unlimited amounts from individual contributors so long as they are U.S. citizens or green card holders.

A Super PAC may not be used, however, to make contributions to federal candidates, political party committees, or to PACs that contribute to candidates and party committees. A Super PAC’s activities must also not be coordinated with a candidate, a candidate’s authorized committee, a political party committee, or their respective agents.

Many states allow a federal Super PAC to make expenditures in connection with non-federal elections, although some impose registration and/or reporting requirements. Some states require a separate in-state Super PAC to be created. A handful of states have continued to fight the use of Super PACs, but courts have almost uniformly struck down those laws.

Super PACs can do virtually anything to independently support or oppose candidates. Often they air advertisements on radio and television, but they may also create websites, use social media, and can even develop a ground game to identify voters and get-out-the vote.

Steps to Set Up a Super PAC

Select a name. The Super PAC’s name must appear in public filings and in most public communications in the form of a “paid for by” statement. At a minimum, some initial screening should be done to determine the likelihood of trademark challenges to the PAC’s name, logo, and slogans.

Determine governance structure. While not required, we recommend that Super PACs incorporate for liability purposes. Donors also often like to see the PAC run by a board with fiduciary obligations responsible for determining how the money will be spent, rather than a hired political consultant who may have a strong incentive to spend money in a way that is beneficial to the consultant. As an incorporated entity, the Super PAC will need articles of incorporation, bylaws, and organizing resolutions. The Super PAC will also need to designate a registered agent to accept service of process.

Open a bank account. The Super PAC must open a bank account in its own name through which all receipts and disbursements should be made. To open the account, the Super PAC will need an Employer Identification Number (EIN) from the Internal Revenue Service.

Select a treasurer. The Super PAC must appoint a treasurer who is legally responsible for safeguarding PAC funds and ensuring that the PAC files timely and accurate reports. A PAC may not receive or disburse funds if there is a treasurer vacancy. The FEC therefore encourages PACs to appoint an assistant treasurer who may act in the treasurer’s absence.

Prepare and file initial registration with the FEC. The Super PAC must register with the FEC by filing a Statement of Organization (FEC Form 1). The FEC Form 1 must be filed within 10 days of receiving contributions or making expenditures in connection with a federal election. The registration form requires the PAC to identify its name, address, committee type, custodian of records, treasurer and any assistant treasurer, and the name and address of the PAC’s bank. The FEC Form 1 must also be accompanied by a brief letter specifying the PAC’s intention to act as an independent expenditure-only committee.

Fundraising

A federal Super PAC may accept contributions in unlimited sums from individuals (U.S. citizens or green card holders), and other groups or business entities, including corporations and unions. However, federal political committees, including Super PACs, are prohibited from accepting contributions from foreign nationals and federal government contractors.

Coordination

Super PACs may not make expenditures at the request or suggestion of a candidate, campaign or political party, or use non-public information obtained from a candidate, campaign, or political party in connection with media strategy, development, or production. Likewise, a Super PAC may not republish campaign materials prepared by a candidate, campaign committee, or political party, except for a brief quote to illustrate a candidate’s position or certain other limited purposes. The coordination ban also applies to interactions with agents of the candidate and campaign finance entity of a candidate, such as common vendors and employees (present and former).

Coordination may cause the Super PAC’s disbursement to be considered an illegal, in-kind contribution. Such activity can lead to intrusive investigations, significant penalties, and even criminal prosecution. To minimize these risks, every Super PAC should adopt and implement a coordination policy, provide training regarding the policy to its employees and vendors, and exercise care in its interactions with candidates, campaigns, and political parties.

Advertising Disclaimers

Public communications by Super PACs must include “paid for by” disclaimers in compliance with FEC rules. The specific disclaimer requirements vary considerably depending on the communication medium. Any automated phone calls must also comply with sponsorship identification and other restrictions promulgated by the Federal Communications Commission, and may also be subject to state law requirements.

Reporting

Super PACs are subject to the same reporting obligations as traditional federal PACs. During an election year, the Super PAC must file reports with the FEC disclosing all receipts and disbursements on either a monthly or quarterly schedule. Quarterly filers must also file pre-primary reports 12 days before every primary in which the PAC is active. Super PACs must also file 24- or 48-hour reports disclosing certain expenditures made in close proximity to an election. Given the short turnaround on these reports, it is important to have good accounting systems in place to make certain that the reports are accurate and filed on time.

Federally-registered Super PACs are automatically tax-exempt under Section 527 of the Internal Revenue Code, and generally have no filing obligations with the Internal Revenue Service. A Super PAC must, however, file Form 1120-POL with the IRS and pay any associated tax for any year in which the organization has investment or similar taxable income over $100.

As of today (Aug. 4), we are 216 days into 2019. In the US over that time, more than 1,300 people have been injured or killed in mass shootings, according to data collected by the Gun Violence Archive.

The nonprofit organization, which is based in Washington, DC, defines a mass shooting as an event in which at least four people were shot. By its calculations, that means there have been some 292 mass shootings in the US since the year began.

Within the past 24 hours alone, two mass shootings took place in two different states. The first occurred on Saturday at a Walmart in El Paso, Texas, where a gunman killed 20 and injured 26. The second unfolded early Sunday morning in Dayton, Ohio, where a gunman killed 9 people and injured at least 16 more. It was the third mass shooting in the US this week.

Police said officers shot and killed the gunman in Dayton.

The El Paso shooter is in police custody, however, and being interviewed by authorities. Police believe the 21-year-old white man posted a 2,300-word anti-immigrant manifesto minutes before the attack. According to the manifesto, the shooter was inspired by the New Zealand mass shooting at a mosque in March of this year.

As Axios’ Mike Allen pointed out this morning, the US has the highest gun ownership rate of any other country in the world. In the US, there are 120.5 guns per 100 people more than twice the rate of Yemen, which has the next highest rate at 52.8 guns per 100 people. The high rate of gun ownership and the spread of white nationalism and anti-immigrant sentiment are largely blamed for fueling the unprecedented number of mass shootings in the US.

Island Hop bounces to its own beat

Island Hop was born after owner Missy Parsons had an epiphany one day while relaxing on the beach.

“Well my then boyfriend and I had been on island for about a year and wanted to open up a business but didn’t know what to do. We were at Pau Pau [Beach] one Saturday and looked around and saw all the kids at the parties actually playing and making up games, not one kid was on a tablet or phone,” she said.

Parsons thought that seeing children actually playing outdoors and being active was refreshing.

“So, I told my boyfriend that I definitely wanted to do something family oriented and something the island didn’t have (or I hadn’t seen) and I realized I hadn’t seen one bounce house since we had been here and that’s how it all began,” she said.

The whole idea of coming up with Island Hop came in a flash, but the company didn’t actually take off until months later.

“I ordered the bounce houses mid-December 2017 and my first rental was March 4th (it took quite a long time to get here). The initial reception was more than I had anticipated. Once my Facebook page was up and I shared it with some friends I had over 400 followers in the first five days, orders started coming in the second day my page was up and the bounce houses weren’t even here yet!”

Parsons said that her bounce houses come from China.

“Both times I have ordered it has been from China. After doing months of research I realized that they used the same type of vinyl and stitching as the companies in the U.S., plus they had so many more fun-looking ones than thy typical castles they sell in the U.S. and the shipping was cheaper.”

As far as pricing goes, Island Hop’s biggest and most elaborate bounce house is the Castle Combo. “It is a 3-in-1 bouncy house, water slide, and pool and it is $275 for the day,” said Parsons.

Aside from the Castle Combo, Island Hop also rents out Candy Land ($125); Jungle Monkey ($125); Birthday Cake ($125); Wet/Dry Double Slides ($225); and Tidal Wave 20-foot water slide ($250).

Parsons said all prices are for full-day rentals.

Aside from the usual birthday parties, Island Hop also get bookings for christenings, school events, church events, Liberation Day, family fun days, and even island events like the American Red Cross-NMI Chapter Walkathon and Konqer.

As far as the frequency of bookings, Parsons said it could be as unpredictable as the Saipan weather.

“So far, the busiest month two years in a row has been April. As far as bookings go that is always up in the air, I have had as little as one up to nine in one week,” she said.

Lately, however, like other local businesses Island Hop has also taken a hit from the economic slowdown and the subsequent government austerity measures.

“It has affected my business tremendously. June and July of this year have been my worst months since I opened in 2017. In June, for example, I had the same number of rentals for the entire month that I usually have in one weekend.”

To give the bottom line a boost, Islands Hop is offering 20% off all units until Sept. 1, 2019.

Regardless of plateauing sales, Parsons said she’s just happy providing an important service to local families and children.

“Without a doubt the looks on the kids’ faces, their excitement, and the cutest things they say is the most fulfilling part of owning Island Hop. Their giggles and laughter… I have had more than one child tell me ‘It was their best day ever.’ How could you not love that?” she said.

CLAIM FOR RELIEF:

19. Pursuant to the ADA, 42 USC12101, et seq., and law pursuant to this Act, 28 CFR36.304, defendant was to remove barriers by 1/26/92. .

20. By failing to remove barriers defendant violates the ADA.

WHEREFORE, the plaintiff

pray that the Court order the defendant to remove barriers and pay plaintiffs attorney fees and such relief as may be just, proper, and equitable.
